01定义Definitions

• "本服务"——指通过 console.solunarai.com 提供的 Solunar AI API 网关、自助控制台、账户面板及相关文档。"Service" — the Solunar AI API gateway, self-service console, account dashboard, and related documentation made available at and through console.solunarai.com.
• "上游提供方"——指通过本服务提供其模型的任何第三方模型提供方。"Upstream Provider" — any third-party model provider whose models are made available through the Service.
• "额度"——指客户预先购买、随本服务使用而消耗的预付记账单位,详见第 6 条。"Credits" — prepaid units of account purchased by Customer and consumed as the Service is used, as described in §6.
• "客户内容"——指您提交至本服务的提示词、输入、文件及其他数据,以及返回给您的输出。"Customer Content" — the prompts, inputs, files, and other data you submit to the Service, and the outputs returned to you.
• "可接受使用政策"/"AUP"——指 可接受使用政策,以引用方式并入本条款。"Acceptable Use Policy" / "AUP" — the policy at Acceptable Use Policy, incorporated by reference.
• "隐私政策"——指 隐私政策,以引用方式并入本条款。"Privacy Policy" — the policy at Privacy Policy, incorporated by reference.
• "退款政策"——指 退款政策,以引用方式并入本条款。"Refund Policy" — the policy at Refund Policy, incorporated by reference.

02资格与账户Eligibility & Accounts

2.1 您必须达到您所在司法管辖区的完全民事行为能力年龄,并具备订立有约束力合同的能力。2.1 You must be at least the age of majority in your jurisdiction and capable of forming a binding contract.

2.2 注册。本服务以自助方式在账户注册后提供。在账户激活前,我们可要求邮箱验证及防滥用验证(如人机验证)。我们可自行裁量拒绝、暂停或限制任何注册,包括为保护本服务及我们的上游提供方的完整性与安全而为之。2.2 Registration. Access to the Service is offered on a self-service basis following account registration. We may require email verification and anti-abuse verification (e.g., a bot-prevention challenge) before an account becomes active. We may decline, suspend, or limit any registration at our discretion, including to protect the integrity and security of the Service and our Upstream Providers.

2.3 账户安全。您有责任保管您的账户凭据与 API 密钥,并对您账户下的一切活动负责。如发生任何未经授权的使用,请立即通过 service@solunarai.com 通知我们。除经书面明确许可外,您不得共享、转售或再许可您的 API 密钥。2.3 Account security. You are responsible for safeguarding your account credentials and API keys, and for all activity under your account. Notify us promptly at service@solunarai.com of any unauthorized use. You must not share, resell, or sublicense your API keys except as expressly permitted in writing.

2.4 身份真实。您必须提供准确的注册信息,不得假冒任何个人或实体,或虚报其关联关系。2.4 One identity. You must provide accurate registration information and may not impersonate any person or entity or misrepresent your affiliation.

2.5 接受。您通过在注册时主动表示同意并使用本服务,即接受本条款、AUP、隐私政策与退款政策。我们会记录您所接受的版本及接受日期。若您不同意,请勿注册或使用本服务。2.5 Acceptance. You accept these Terms, the AUP, the Privacy Policy, and the Refund Policy by affirmatively agreeing to them at registration and by using the Service. We record the version you accepted and the date of acceptance. If you do not agree, do not register or use the Service.

03本服务The Service

3.1 服务性质。Solunar AI 运营一个 API 网关,将您的请求路由至上游提供方,并将上游提供方的输出返回给您,同时提供账户、用量计量与计费功能。本服务以逻辑模型名(您控制台中显示的模型标识)对外呈现。我们可不时变更某一逻辑模型背后的路由与底层基础设施;但对于我们明示为提供官方或未经改动地访问某指定模型的任何服务,我们不会悄然替换为不同或更小的模型、降低所宣传模型的能力,或改动您提示词的内容;任何实质不同的路由仅在单独且清晰标识的服务说明下提供。3.1 Nature of the Service. Solunar AI operates an API gateway that routes your requests to an Upstream Provider and returns the Upstream Provider's outputs to you, together with account, usage-metering, and billing functions. The Service exposes logical model names (the model identifiers shown in your console). We may change the routing and underlying infrastructure behind a logical model from time to time; however, for any offering we describe as providing official or unmodified access to a named model, we will not silently substitute a different or smaller model, degrade the advertised model's capabilities, or alter the content of your prompts, and any materially different routing will be offered only under a separately and clearly identified service description.

3.2 非专业意见。输出由机器学习模型生成,可能不准确、不完整或不适合您的用途。您须自行负责评估输出并对任何依赖承担责任。本服务不提供法律、医疗、财务或其他专业意见。3.2 No professional advice. Outputs are generated by machine-learning models and may be inaccurate, incomplete, or unsuitable for your purpose. You are solely responsible for evaluating outputs and for any reliance on them. The Service does not provide legal, medical, financial, or other professional advice.

3.3 服务变更。我们可修改、新增或停止功能、模型或端点。对于影响活跃付费客户的重大不利变更,我们将尽商业上合理的努力予以通知。3.3 Changes to the Service. We may modify, add, or discontinue features, models, or endpoints. We will use commercially reasonable efforts to give notice of materially adverse changes affecting active paid Customers.

04可接受使用Acceptable Use

4.1 您必须始终遵守 可接受使用政策。4.1 You must comply with the Acceptable Use Policy at all times.

4.2 上游合规。由于您的请求由上游提供方履行,您还必须遵守您所使用模型的每一上游提供方的适用使用政策与条款。您确认,因您使用本服务而违反上游提供方政策的行为,除任何其他救济外,还可能导致依第 13 条立即暂停您的账户。4.2 Upstream compliance. Because your requests are fulfilled by Upstream Providers, you must also comply with the applicable usage policies and terms of each Upstream Provider whose models you use. You acknowledge that a violation of an Upstream Provider's policy through your use of the Service may result in immediate suspension of your account under §13, in addition to any other remedy.

4.3 出口管制与制裁。您声明并保证:您不位于、不通常居住于、亦非依据任何受适用加拿大、美国或其他适用法律全面经济制裁或禁运的国家或地区的法律设立;且您并非适用制裁或出口管制法律下禁止与之交易的对象。您不得以违反任何适用出口管制或制裁法律的方式使用本服务,或向任何此类对象提供本服务的访问。4.3 Export controls & sanctions. You represent and warrant that you are not located in, ordinarily resident in, or organized under the laws of, any country or territory that is the subject of comprehensive economic sanctions or embargo under applicable Canadian, U.S., or other applicable law, and that you are not a person with whom dealings are prohibited under applicable sanctions or export-control laws. You will not use the Service, or provide any other person access to it, in violation of any applicable export-control or sanctions law.

05客户内容;数据;隐私Customer Content; Data; Privacy

5.1 所有权。在双方之间,您保留对您客户内容的一切权利。我们不主张对您的提示词、输入或返回给您的输出拥有任何所有权。5.1 Ownership. As between the parties, you retain all rights in your Customer Content. We claim no ownership of your prompts, inputs, or the outputs returned to you.

5.2 运营许可。您授予我们一项有限许可,仅为提供与保障本服务之目的处理、传输及临时处置客户内容(例如,将您的请求路由至上游提供方并返回输出)。5.2 License to operate. You grant us a limited license to process, transmit, and temporarily handle Customer Content solely to provide and secure the Service (e.g., to route your request to an Upstream Provider and return the output).

5.3 不训练;不转卖内容。我们不使用您的客户内容训练模型,不出售您的客户内容。客户内容仅为履行您的请求而传输至上游提供方;上游提供方就其执行的处理适用其自身的数据规范。依据我们上游提供方的适用商用条款,客户内容不用于训练其模型,且其处理受其自身的数据留存与隐私规范约束。5.3 No training; no resale of content. We do not use your Customer Content to train models, and we do not sell your Customer Content. Customer Content is transmitted to Upstream Providers solely to fulfill your requests; the Upstream Provider's own data practices apply to the processing they perform. Under our Upstream Provider's applicable commercial terms, Customer Content is not used to train its models, and the Upstream Provider's own data-retention and privacy practices govern its processing.

Our control plane records usage metadata for billing and operations — including the logical model name, token counts, timestamps, request identifiers, and the source IP address — and does not store the body text of your prompts or completions in the console/billing system. Our inference layer likewise records only usage/billing metadata and does not persist prompt or completion bodies, with no external logging or analytics integrations configured.

06额度、计费与支付Credits, Billing & Payment

6.1 预付模式。本服务以预付额度方式提供。您预先购买额度;额度随您按账户内显示的计量与费率使用本服务而消耗。6.1 Prepaid model. The Service is provided on a prepaid Credits basis. You purchase Credits in advance; Credits are consumed as you use the Service according to the metering and rates displayed in your account.

6.2 定价。适用的模型费率及任何倍率在您登录后于账户内显示,并可不时更新。费率变更后继续使用,即构成对变更后费率适用于变更之后所发生用量的接受。6.2 Pricing. Applicable model rates and any multipliers are displayed in your account after you log in and may be updated from time to time. Continued use after a rate change constitutes acceptance of the updated rates for usage occurring after the change.

6.3 支付。额度可通过您账户内提供的支付方式购买(可包括经我们的支付处理方 Stripe 的银行卡支付,以及在适用情形下的兑换码)。您授权我们及我们的支付处理方就您发起的购买向您所选支付方式收款。6.3 Payment. Credits may be purchased through the payment methods offered in your account (which may include card payment via our payment processor, Stripe, and, where applicable, redemption codes). You authorize us and our payment processor to charge your selected payment method for purchases you initiate.

6.4 税费。除另有说明外,价格不含税。除针对我们净收入的税项外,您负责承担适用税费(如 GST/HST)。6.4 Taxes. Prices are exclusive of taxes unless stated otherwise. You are responsible for applicable taxes (e.g., GST/HST) except for taxes on our net income.

6.5 不保证额度可用。额度使您有权在遵守本条款的前提下使用本服务;额度并非存款,除法律要求或退款政策另有规定外不可兑换为现金,并可能因依第 13 条的有因终止而被没收。6.5 No guarantee that Credits are usable. Credits entitle you to use the Service subject to these Terms; they are not a deposit, are not redeemable for cash except as required by law or as stated in the Refund Policy, and may be forfeited upon termination for cause under §13.

6.6 退款。退款(如有)受 退款政策规范。6.6 Refunds. Refunds, if any, are governed by the Refund Policy.

6.7 拒付(Chargeback)。若您认为存在计费错误,您同意在发起拒付之前先通过 service@solunarai.com 联系我们解决。在未先尝试与我们解决的情况下,就并非未经授权的扣款发起拒付,可被视为违反本条款,并可能导致依第 13 条暂停。本条不限制您就确属未经授权的交易所享有的权利。6.7 Chargebacks. If you believe you were billed in error, you agree to contact us at service@solunarai.com to resolve the issue before initiating a chargeback. Initiating a chargeback on a charge that is not unauthorized, without first attempting resolution with us, may be treated as a breach of these Terms and may result in suspension under §13. Nothing in this section limits your rights in respect of genuinely unauthorized transactions.

07服务可用性Service Availability

7.1 合理努力;无 SLA。我们以商业上合理的努力提供本服务。我们目前不提供可用性服务等级协议(SLA)。本服务可能因维护、上游提供方中断或我们无法控制的因素而不可用。7.1 Reasonable efforts; no SLA. We provide the Service on a commercially reasonable efforts basis. We do not currently offer an uptime service-level agreement (SLA). The Service may be unavailable due to maintenance, Upstream Provider outages, or factors beyond our control.

7.2 上游依赖。可用性与性能取决于上游提供方,其服务非我们所能控制,我们对其中断不承担责任。7.2 Upstream dependency. Availability and performance depend on Upstream Providers, whose service we do not control and for whose outages we are not liable.

08知识产权Intellectual Property

8.1 本服务,包括控制台、文档、商标(包括"Solunar AI"及相关标识)以及一切相关软件与材料,均归 Solunar AI 或其许可方所有,并受适用法律保护。除本条款项下使用本服务的有限权利外,未授予您任何权利。8.1 The Service, including the console, documentation, trademarks (including "Solunar AI" and associated logos), and all related software and materials, is owned by Solunar AI or its licensors and protected by applicable law. Except for the limited right to use the Service under these Terms, no rights are granted to you.

8.2 反馈。若您提供反馈或建议,您授予我们一项永久、免许可费的许可,可不受限制地使用之。8.2 Feedback. If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use it without restriction.

8.3 第三方软件声明。本控制台采用了依各自许可证提供的第三方开源软件。在相关许可证要求的范围内,相应源代码与声明将予提供。8.3 Third-party software notice. The console incorporates third-party open-source software provided under their respective licenses. Where required, corresponding source and notices are made available.

09保密Confidentiality

各方可能获得对方的非公开信息。接收方仅为履行本条款而使用之,并以合理注意予以保护。本条不适用于属于公开、独立开发或自第三方合法取得的信息。Each party may receive non-public information of the other. The receiving party will use it only to perform under these Terms and protect it with reasonable care. This does not apply to information that is public, independently developed, or rightfully received from a third party.

10上游提供方与第三方Upstream Providers & Third Parties

10.1 本服务依赖上游提供方。您的使用还受其适用条款与使用政策约束(见第 4.2 条)。我们可增加、移除或替换上游提供方及通过本服务呈现的模型。10.1 The Service relies on Upstream Providers. Your use is additionally subject to their applicable terms and usage policies (see §4.2). We may add, remove, or substitute Upstream Providers and the models exposed through the Service.

10.2 我们对上游提供方的作为或不作为不承担责任,包括其侧的内容审核决定、速率限制或服务中断。10.2 We are not responsible for Upstream Providers' acts or omissions, including content moderation decisions, rate limits, or service interruptions on their side.

11免责声明Disclaimers

本服务及一切输出均按"现状"(AS IS)及"现有可用"(AS AVAILABLE)提供,在法律允许的最大范围内,不附带任何明示、默示或法定的保证,包括对适销性、特定用途适用性、不侵权的默示保证,以及对输出将准确、可靠或无错误的任何保证。某些司法管辖区不允许排除某些保证;在此类排除被禁止的范围内,该等排除可能不适用于您,而我们的责任则被限制在法律允许的最低限度内。THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT OUTPUTS WILL BE ACCURATE, RELIABLE, OR ERROR-FREE, TO THE MAXIMUM EXTENT PERMITTED BY LAW. Some jurisdictions do not allow the exclusion of certain warranties; to the extent such exclusions are prohibited, they may not apply to you, and our liability is limited to the minimum extent permitted by law.

12责任限制Limitation of Liability

12.1 在法律允许的最大范围内,任何一方均不就任何间接、附带、特殊、后果性或惩罚性损害,或利润、数据或商誉的损失承担责任。12.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL.

12.2 在引起索赔的事件发生前三 (3) 个月内,我们就本服务对您承担的累计总责任,不超过您就本服务向我们支付的款项。12.2 OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12.3 不可排除的责任。本条款中的任何内容均不排除或限制依适用法律不可排除或限制的任何责任,包括因欺诈或欺诈性失实陈述、因过失致死或人身伤害的责任,或适用消费者保护法下任何不可放弃的权利。12.3 Non-excludable liability. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or any non-waivable rights under applicable consumer-protection law.

13暂停与终止Suspension & Termination

13.1 暂停。若我们合理地认为:(a) 您违反本条款或 AUP;(b) 您的使用威胁本服务或任何上游提供方的安全、完整性或合法运营(包括任何危及我们上游提供方账户的行为);(c) 存在支付失败、拒付或疑似欺诈;或 (d) 法律要求,我们可立即(无论是否通知)暂停或限制您的访问。任何暂停的范围与期限将与情形合理相称。若理由属非紧急且不涉及违法行为或对本服务或我们上游提供方账户安全的威胁,我们将尽商业上合理的努力通知您,并在适当情况下于暂停前给予补救机会。13.1 Suspension. We may suspend or limit your access immediately, with or without notice, if we reasonably believe: (a) you have violated these Terms or the AUP; (b) your use threatens the security, integrity, or lawful operation of the Service or any Upstream Provider (including any conduct that risks our Upstream Provider accounts); (c) of a payment failure, chargeback, or suspected fraud; or (d) required by law. The scope and duration of any suspension will be reasonably proportionate to the circumstances. Where the ground is non-urgent and does not involve unlawful conduct or a threat to the security of the Service or our Upstream Provider accounts, we will use commercially reasonable efforts to notify you and, where appropriate, allow an opportunity to cure before suspending.

13.2 终止。任何一方均可通过关闭账户而终止。我们可因重大违约而终止。13.2 Termination. Either party may terminate by closing the account. We may terminate for material breach.

13.3 效果。因第 13.1(a)/(b) 条的有因终止时,未使用的额度可在法律允许的范围内被没收;否则未使用的额度按退款政策处理。依其性质应继续有效的条款——包括第 5 条(客户内容;数据;隐私)、第 6 条(就已发生的应付款项及没收而言)、第 8 条(知识产权)、第 9 条(保密)、第 11 条(免责声明)、第 12 条(责任限制)、第 14 条(赔偿)、第 15 条(管辖法律与争议)及第 17 条(杂项)——在终止后继续有效。13.3 Effect. Upon termination for cause under §13.1(a)/(b), unused Credits may be forfeited to the extent permitted by law; otherwise unused Credits are handled per the Refund Policy. Sections that by their nature survive — including §§5 (Customer Content; Data; Privacy), 6 (as to accrued amounts and forfeiture), 8 (Intellectual Property), 9 (Confidentiality), 11 (Disclaimers), 12 (Limitation of Liability), 14 (Indemnification), 15 (Governing Law & Disputes), and 17 (Miscellaneous) — survive termination.

14赔偿Indemnification

对于因下列事项引起的第三方索赔,您将为 Solunar AI 抗辩、赔偿并使其免受损害:(a) 您的客户内容;(b) 您以违反本条款、AUP 或任何上游提供方政策的方式使用本服务;或 (c) 您违反法律或第三方权利。You will defend, indemnify, and hold harmless Solunar AI from third-party claims arising out of (a) your Customer Content, (b) your use of the Service in violation of these Terms, the AUP, or any Upstream Provider policy, or (c) your violation of law or third-party rights.

15管辖法律与争议Governing Law & Disputes

15.1 本条款受不列颠哥伦比亚省法律及加拿大适用于该省的联邦法律管辖,不适用其冲突法规则。15.1 These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules.

15.2 位于加拿大不列颠哥伦比亚省的法院拥有专属管辖权,但受任何不可放弃的消费者保护权利的限制。本条不妨碍任何一方向有管辖权的小额索赔法院或法庭提起索赔,亦不妨碍消费者行使《商业惯例与消费者保护法》(Business Practices and Consumer Protection Act)下任何不可放弃的权利(包括依该法提起诉讼的权利)。15.2 The courts located in British Columbia, Canada have exclusive jurisdiction, subject to any non-waivable consumer-protection rights. Nothing in this section prevents either party from bringing a claim in a small claims court or tribunal of competent jurisdiction, or, in the case of a consumer, from exercising any non-waivable right under the Business Practices and Consumer Protection Act (including the right to commence an action under that Act).

16本条款的变更Changes to These Terms

我们可更新本条款。重大变更将通过控制台内公告和/或向账户邮箱发送邮件予以通知,并自通知所述之时生效。在生效日期之后继续使用即构成接受。We may update these Terms. Material changes will be notified by posting in the console and/or by email to the account address, effective as stated in the notice. Continued use after the effective date constitutes acceptance.

17杂项Miscellaneous

完整协议;可分割性;不弃权;转让(未经我们同意您不得转让;我们可向关联方或承继方转让);不可抗力;通知送至 service@solunarai.com 及您的账户邮箱;独立缔约方;无第三方受益人;语言——本条款以英文订立,英文为作准语言(governing language);任何译本仅供参考,如有冲突以英文版为准。Entire agreement; severability; no waiver; assignment (you may not assign without our consent; we may assign to an affiliate or successor); force majeure; notices to service@solunarai.com and to your account email; independent contractors; no third-party beneficiaries; language — these Terms are made in the English language, which is the governing language; any translation is provided for convenience only, and the English version controls in the event of any conflict.
